What is A S.A.F.E? & How Does it Work?
A SAFE (Simple Agreement for Future Equity) is an investment contract between a startup and an investor. Originally created by Y Combinator, it grants the investor the right to receive future equity in the company (typically preferred stock) when a specific “trigger event” occurs most commonly a subsequent priced funding round (like a Seed or Series A) or an acquisition.
The Conversion Phase (The Trigger Event)
The N10 million SAFE remains dormant as equity until ParlyPay raises its next “priced” funding round (e.g., a formal institutional round). At that moment:
The N10 million automatically converts into preferred shares.
The number of shares the investor receives is calculated based on the valuation cap or discount rate agreed upon in the original N10 million SAFE.
If the company is acquired or liquidated before a priced round, the SAFE holder typically has rights to receive their money back (or a payout) before common shareholders, depending on the specific terms.

ParlyPay is structuring this early-stage financing round via a Simple Agreement for Future Equity (SAFE) based on an indicative US$5,000,000 post-money valuation cap (approx. ₦7.5 Billion at an illustrative exchange rate of ₦1,500 = US$1).
